You must be at least 18 years old and have the legal capacity to enter into contracts to use the Services. By using the Services, you represent and warrant that you meet these requirements and are not barred from using the Services under applicable law.

4. User Accounts

To access certain features, you must create an account with accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use at support@legalclause.ai.

5. User Conduct

You agree not to:

  • Use the Services for any illegal or unauthorized purpose.
  • Upload, transmit, or share content that infringes intellectual property, privacy, or other rights.
  • Attempt to reverse-engineer, decompile, or otherwise access the source code or algorithms of the Services.
  • Interfere with or disrupt the Services, including through hacking, malware, or excessive usage.
  • Use the Services to generate misleading, defamatory, or harmful content.

Violation of these rules may result in immediate termination of your account and legal action.

6. Intellectual Property

All content, software, and materials provided by the Services (excluding user-uploaded content) are owned by LegalClause or its licensors and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without prior written consent.

By uploading content, you grant LegalClause a worldwide, non-exclusive, royalty-free license to use, store, and process such content solely to provide and improve the Services. You represent that you have all necessary rights to upload such content.

7. Disclaimers

The Services are provided "as-is" and "as-available" without warranties of any kind, express or implied, including for accuracy, reliability, or uninterrupted access. LegalClause does not warrant that the Services will meet your requirements or be free of errors.

8. Limitation of Liability

To the fullest extent permitted by law, LegalClause, its affiliates, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from or related to your use of the Services, even if advised of the possibility of such damages. Our total liability shall not exceed the fees paid by you for the Services in the preceding six months.

9. Indemnification

You agree to indemnify, defend, and hold harmless LegalClause, its affiliates, and their respective officers, directors, and employees from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

10. Termination

LegalClause may suspend or terminate your access to the Services at any time, with or without notice, for violating these Terms, suspected fraudulent activity, or any other reason deemed necessary to protect the platform or other users. Upon termination, your right to use the Services ceases immediately, and we may delete your account and data, subject to applicable law.

11. Modifications to Terms

We may update these Terms at our discretion. Significant changes will be communicated via email or a notice on the platform at least 30 days before taking effect. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of Israel, excluding its conflict of law provisions. Any legal action arising from these Terms shall be brought exclusively in the courts of Tel Aviv, Israel.

13. AI Disclaimer

The AI-generated analysis provided by LegalClause is for informational purposes only and does not constitute legal, financial, or professional advice. Reliance on AI outputs is at your own risk, and you should consult a qualified attorney for legal decisions.

14. Dispute Resolution

Any disputes arising from or related to these Terms or the Services shall first be addressed through good-faith mediation in Tel Aviv, Israel. If mediation fails within 60 days, disputes shall be resolved by binding arbitration under the rules of the Israel Arbitration Association, conducted in Tel Aviv, Israel, in English. Each party shall bear its own costs, except as otherwise determined by the arbitrator.

15. Data Retention and Deletion

We retain user data as necessary to provide the Services and comply with legal obligations. Upon account deletion or termination, we may retain certain data as required by law or for legitimate business purposes (e.g., fraud prevention). See our Privacy Policy for details.

16. Force Majeure

LegalClause shall not be liable for any failure to perform its obligations under these Terms due to events beyond its reasonable control, including natural disasters, cyberattacks, or government actions.

17. Severability

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and LegalClause regarding the Services and supersede all prior or contemporaneous agreements, representations, or understandings.
